Welcome to Reedsy Studio brought to you by Reedsy Limited (us, we, our).

These Terms of Use set out important information applicable to our relationship so please read them carefully before using Reedsy Studio.

In these Terms of Use when we refer to you, your, or user we mean you, the person using or visiting Reedsy Studio. These Terms of Use should be read together with our General Terms and our Privacy Policy (together the "Reedsy Terms"). By accessing and using Reedsy Studio, you agree to be bound by the Reedsy Terms.

We may update these Terms of Use from time to time and will notify you of any change via Reedsy. Your use of Reedsy Studio will be subject to the version of the Terms of Use posted on the site at the time.

Definitions

In these Terms of Use when we refer to the capitalised words in bold below, we intend them to have the following meanings:

Applicable Laws

all relevant laws, statutes, rules, regulations, guidelines, directives and codes;

Intellectual Property Rights

any patents, registered and unregistered trade-marks and service marks, domain names, registered designs and design rights, copyright (including such rights in computer software and databases), database rights and moral rights (in each case for the full period thereof and extensions, revivals and renewals thereof), applications for the foregoing and the right to apply for any of the foregoing anywhere in the world and all similar rights anywhere in the world including those subsisting in inventions, designs, drawings and computer programs;

Reedsy Content

all courses, webinars, materials, informational, images, graphics, audio, video, design of and 'look and feel' of Reedsy Studio, logos and marks and all other content made available by us on Reedsy Studio including all Intellectual Property Rights connected thereto and all derivatives thereof;

Services

the provision of the Reedsy Content and any other features and services made available to you via Reedsy Studio from time to time;

Subscription Fee

the subscription fee payable by the User for accessing certain content or services on the Reedsy Studio platform;

User Content

means any written content or any images or video content submitted to Reedsy Studio, including to its community hub, for any purpose by users.

About Reedsy Studio and these Terms of Use

Reedsy Studio is an online platform designed by Reedsy to provide users with a place to plan, draft, edit, and typeset your book, novel or any other writing project.

You may access Reedsy Studio and certain Reedsy Studio content as an unregistered user but will need to register with an account to make full use of all Reedsy Studio functionality.

Subject to the Reedsy Terms, we grant you a limited, personal, non-exclusive, non-transferable, and revocable license right to use our Services. The rights granted herein are only for your personal, non-commercial use, unless you obtain our written permission otherwise. You also agree that you will create, access, and/or use only one user account and you will not share access to your account or access information for your account with any third party. Using our Services does not give you ownership of or any Intellectual Property Rights in our Services or in the Reedsy Content you access.

Subscription Fee

Users will be required to pay a Subscription Fee for access to premium Reedsy Studio content and services.

Details of the Subscription Fee payable will be set out on the Reedsy Studio platform, and may be subject to change from time to time.

Where your Subscription Fee is paid on a periodic basis, you acknowledge and agree that Reedsy, via its payment processing agent (such as Stripe) shall automatically take payment from you of the applicable Subscription Fee on the agreed due dates. If a payment does not clear on the due date, Stripe (or another processing agent) will continue to attempt to take payment of the instalment from you until the payment is made.

For the avoidance of doubt, failure to pay any part of the Subscription Fee when due shall constitute a material breach of these Terms of Use and may result in the suspension or termination of your account and can also lead to the institution of legal recovery procedures.

You may cancel your subscription at any time, but other than as set out in clause 4.6, we do not provide refunds for any Subscription Fee paid. If you wish to cancel your subscription, please write to us at studio@reedsy.com.

If you are a consumer as defined in The Distance Selling Regulations, you have the legal right to cancel your order up to 14 calendar days after the day on which you register for an account. If you provide us with notice of cancellation within this period (by writing to us at studio@reedsy.com), you will be given a full refund for your Subscription Fee. However, this refund shall apply only if you have not accessed any Reedsy Content following the completion of your first week introductory period. If you have accessed any Reedsy Content following the completion of your first week introductory period, we reserve our legal right to withhold such part of the Subscription Fee which we may reasonably determine in our discretion amounts to your use of the Reedsy Content.

Use of Reedsy Studio

Your subscription is personal to the registered user and may not be shared with anyone else. You are not permitted to share your login details with any third party. Breach of these rules will be considered a material breach of these Terms of Use and may result in the suspension or termination of your account and can also lead to the institution of legal procedures.

We may amend, vary, update or change any of the features available on the Reedsy Studio platform at any time.

When you cancel your subscription, you will retain access to your work on a read-only basis. All other features of Reedsy Studio included in the premium subscription will cease, including the 'unlimited history' feature.

In this section, "Your Collaborators" means any third party you allow to access your User Content through Reedsy Studio, by sharing a link with such person or by giving access to professionals you hire from our Marketplace.

You may use Reedsy Studio to upload, edit and publish your User Content on Reedsy or to plan, draft, edit, and typeset your book, novel or any other writing project. You will also be able to download your User Content. Current features of Reedsy Studio include outlining, collaborative editing, version control, writing goal tracking, formatting and typesetting. However, we may add to or change these features from time to time.

Reedsy Studio allows you to publish your User Content as e-books or hard copy books by either: (i) downloading a PDF or EPUB file which you can then publish yourself through platforms such as Amazon KDP and others, or (ii) you can choose to make some parts or your entire book available to read on Reedsy with a unique URL. Please note that although Reedsy reasonably believe our formatting will be suitable for publishing through distributors such as Amazon, we are not responsible or liable should any files not be accepted for any reason.

If you choose to publish your User Content, you agree:

Reedsy shall not be considered as the publisher of your User Content and you will not state or otherwise suggest that Reedsy is the publisher of your book, or other content;

you will represent and warrant that you are the publisher of your book, or other content and that you bear complete responsibility and all liabilities relating to the publication and distribution of your User Content;

you acknowledge that use of any third party platform or service is entirely at your own risk and we shall not be liable for any results of using such third party service; and

you will indemnify Reedsy against any claims brought against us by any person or entity in relation to the publishing or distribution of your User Content.

You understand and agree that Reedsy Studio contains proprietary tools, functionalities, fonts, images, designs and content which belongs to or is licensed by Reedsy ("Reedsy IP"). Reedsy will retain ownership of all Reedsy IP, and grants you a non-exclusive, revocable, worldwide and royalty-free license to use Reedsy Studio and to make use of the Reedsy IP in the editing, production, display and publication of your User Content.

You grant permission to Your Collaborators to view, access, edit and contribute to your User Content and agree to hold harmless and indemnify us against any action taken by Your Collaborators including any breach by them of these terms of use. You further agree to hold harmless and indemnify us against any unauthorised access to your User Content (to the extent such access does not result from a breach by us of these terms).

You agree that your User Content will not include any content which:

is offensive, pornographic, or promotes racism, bigotry, hatred, or physical harm of any kind against any group or individuals;

bullies, harasses, or advocates stalking, bullying, or harassment, of another person;

is false or misleading or promotes, endorses or furthers illegal activities or conduct that is abusive, threatening, obscene, defamatory, or libelous;

contains any illegal or unauthorised copy of any part of another person's work that is protected by copyright or other laws;

contains viruses, trojan horses, worms, time bombs, cancelbots, corrupted files, or similar software;

violates any applicable law, including, but not limited to laws and regulations governing export control, unfair competition, anti-discrimination, and false advertising;

you agree to hold harmless and to indemnify Reedsy from any claims, losses, liabilities, and expenses arising out of or relating to any breach of this section (including by you or Your Collaborators).

If you are granted permission to view, access or edit any content through Reedsy Studio, you agree to be bound by all of the terms set out above in relation to any action you may perform in relation to the posted content.

Whilst Reedsy does not generally monitor User Content, we reserve the right at any time to review any User Content and to delete any User Content which may, in our opinion, breach these terms. We also reserve the right to suspend or terminate access to Reedsy Studio at any time and for any reason.

In order to improve your experience on Reedsy, we may allow User Content on Reedsy Studio to become retrievable or automatically available from other Reedsy products, such as our Marketplace, Prompts and Discovery. We'll provide more details on the site of how this works when we put this functionality in place.

From time to time, we may introduce new features to Reedsy Studio. For example, we may allow you to import User Content from Reedsy Studio to other Reedsy applications, such as the Marketplace which will allow, eg, an editor to see your book and give you a quote, or to Discovery to allow you to import the book for reviewers to download. As these features come on-line, we will provide more details on the site.

Intellectual Property Rights

All Intellectual Property Rights in Reedsy Studio and Reedsy Content are owned and will remain owned, by us or our licensors at all times. You will remain at all times the owner of your own content.

In particular, you are not permitted to record, copy, distribute or publish any Reedsy Content.

You may be entitled to print and/or download written Reedsy Content, but in such cases you may only use that content for your own personal use and must not distribute such content to third parties or make any other commercial use of Reedsy Content outside of your use of Reedsy Studio for your own personal benefit.

In order to allow us to provide Reedsy Studio, you agree to grant to Reedsy a non-exclusive, worldwide, royalty-free license to reproduce and display you User Content on our website for your own personal use and those with whom you choose to share your User Content. You agree that we may store and maintain electronic files of your User Content (until you delete, or inform us of your wish to delete, such content). You also agree to allow us to provide access to your User Content to Your Collaborators. For the avoidance of doubt, we shall not make use of any of your User Content for the purpose of training AI models (or similar).

General Conduct Expectations on Reedsy

We expect all Reedsy Studio users to adopt a high level of courtesy, respect and professionalism when using Reedsy Studio and engaging with other users, for example (but not limited to) when using the Community forum.

At all times when using or accessing Reedsy Studio you represent, warrant and undertake that you will:

not breach any Applicable Laws;

not use Reedsy Studio to seek or offer any goods or services from other users (other than through the Reedsy Platform);

have all necessary rights and/or permissions to post the User Content you upload to Reedsy;

not solicit or harvest another user's password or other account information; and

not reverse engineer, decompile, disassemble or otherwise attempt to obtain Reedsy's source code;

not misuse Reedsy by knowingly introducing viruses, Trojans, worms, logic bombs, third party or external links or other malicious or harmful material;

not attempt to gain unauthorised access to Reedsy, the server on which Reedsy is stored or any server, computer or database connected to the site;

not attack Reedsy via a denial of service attack or a distributed denial-of-service attack.

A failure to comply with Reedsy's conduct expectations set out in paragraph 7.2 above, or any other terms of these Terms of Use, which we reserve the right to determine in our sole discretion, may result in the:

deletion or removal of your User Content from Reedsy Studio;

suspension or termination of your Reedsy Studio account; and/or

suspension or termination of your right to use Reedsy generally.

Paragraph 7.3 shall be without prejudice to any other rights or remedies which may be available to us.

If your account is terminated for any reason, you will not be entitled to re-register or reapply for another Reedsy account without our permission.

User Content

You represent and warrant that:

you own or have the necessary rights and permissions to use and authorize us to use all copyright, trademark or other proprietary rights in and to any User Content to enable inclusion and use on the platform and/or otherwise in accordance with the Reedsy Terms; and

you agree that you will not publish, post, upload, store, distribute or disseminate any User Content that:

infringes the rights (including any Intellectual Property Rights) of any third party that is protected by any third party's rights of privacy or publicity without having received all necessary consents from such third party;
is or could be reasonably deemed unlawful, fraudulent, defamatory, infringing, obscene, pornographic, harmful, confidential, libelous, hateful, racial or ethnically offensive, threatening or otherwise illegal or offensive or which, when published, posted, uploaded, stored, distributed or disseminated might constitute a criminal or civil offence; or
is false or misleading.

You acknowledge that, other than as is provided for in these Terms of Use, we do not review User Content and/or any of the other content that is made available on Reedsy.

If you believe that any User Content available on Reedsy:

infringes your Intellectual Property Rights or other proprietary rights;

is defamatory to you; and/or

is otherwise in breach of these Terms of Use;

please notify us by writing to us at studio@reedsy.com.

Disclaimer

Reedsy makes no warranty, guarantee or other representation with regard to the reliability, validity or accuracy of the Reedsy Content. We do not guarantee that any Reedsy Content you may access will be free from errors, or that it will provide any particular results or solutions to your requirements. You acknowledge and agree that you access and make use of any Reedsy Content entirely at your own risk.

Our Liability

Nothing we say in these Terms of Use is intended to exclude or limit our liability for:

death or personal injury caused by negligence;

fraud or fraudulent misrepresentation; or

anything else which cannot be excluded by law.

Subject to paragraph 10.1, to the extent permitted by law, we exclude all conditions, warranties, representations or other terms which may apply to Reedsy or any content made available on it (including Reedsy Content, User Content or any other third party content), whether express or implied.

Subject to paragraph 10.1, you agree that we will not be liable for any loss or damage, (whether direct or indirect or arising under contract, tort (including negligence), breach of statutory duty, or otherwise) even if foreseeable, arising under or in connection with any:

use of, availability of or inability to use Reedsy Studio;

use of or reliance on any content displayed on Reedsy Studio (including any Reedsy Content or User Content); or

loss of any User Content posted or uploaded to our website.

Subject to paragraph 10.1, Reedsy's total aggregate liability to you, whether in contract, tort (including negligence), for breach of statutory duty, or otherwise, arising under or in connection with these Terms of Use, shall be limited to the greater of:

£2,000; and

the sum of any Subscription Fees paid by you to Reedsy during the period of 6 (six) months immediately preceding the date of the claim.

Due to the inherent risks of using the Internet, we cannot be liable for any damage to, or viruses that may infect, your internet enabled device or any other property when you are using Reedsy Studio. The uploading, posting, downloading or accessing of any content (including User Content), material and/or other information made available by Reedsy Studio is done at your own discretion and risk and with your agreement that you will be solely responsible for any damage to your device or loss of data that results from the downloading or acquisition of any such content, material and/or information.

You agree to indemnify us against any claims, liabilities, losses, damages, expenses, or legal proceedings arising out of:

your use of Reedsy Studio;

your User Content; or

your failure to comply with these Terms of Use.

All the rest

Any failure or delay by us to enforce any of our rights under these Terms of Use will not be taken as or deemed to be a waiver of that or any other right unless we acknowledge and agree to such a waiver in writing.

These Terms of Use are not intended to be for the benefit of, nor exercisable by, any person who is not a party to these Terms of Use.

If a court deems any part of the terms set out in these Terms of Use to be invalid, illegal or unenforceable, the remainder of the terms will remain unaffected.

We agree to the use of email to deliver any notices pursuant to these Terms of Use. Notices shall be served: (a) by you to us using service@reedsy.com; and (b) by us to you using the email provided during registration. Notices shall be deemed served on the date of transmission.

You accept that we may from time to time send you push notices and emails with content or services which we believe may be of interest to you. You are able to unsubscribe from receiving such emails in accordance with the terms of our privacy policy (https://reedsy.com/about/privacy).

These Terms of Use our General Terms and our Privacy Policy (as may be updated from time to time) set out the full extent of our obligations and liabilities concerning Reedsy and replace any previous agreements and understandings between us and you.

We may assign our rights under these Terms of Use and transfer our obligations under these Terms of Use in our sole discretion by providing notice to you via the email address that you provide to us or by notifying you on the site.

These Terms of Use, its subject matter and its formation (and any non-contractual disputes or claims arising out of or in connection with these Terms of Use), are governed and construed in accordance with English law. You and we both agree that the courts of England and Wales will have exclusive jurisdiction in relation to any dispute arising.
