Definitions

In these Terms of Use when we refer to the capitalised words in bold below, we intend them to have the following meanings:
Applicable Laws
all relevant laws, statutes, rules, regulations, guidelines, directives and codes;
Intellectual Property Rights
any patents, registered and unregistered trade-marks and service marks, domain names, registered designs and design rights, copyright (including such rights in computer software and databases), database rights and moral rights (in each case for the full period thereof and extensions, revivals and renewals thereof), applications for the foregoing and the right to apply for any of the foregoing anywhere in the world and all similar rights anywhere in the world including those subsisting in inventions, designs, drawings and computer programs;
Reedsy Content
all courses, webinars, materials, informational, images, graphics, audio, video, design of and ‘look and feel’ of Reedsy Learning, logos and marks and all other content made available by us on Reedsy Learning including all Intellectual Property Rights connected thereto and all derivatives thereof;
Services
the provision of the Reedsy Content and any other learning related services available on or via the Reedsy Learning platform from time to time;
Subscription Fee
the subscription fee payable by the User for accessing certain content on the Reedsy Learning platform;
User Content
means any written content or any images or video content submitted to Reedsy Learning, including to its community hub, for any purpose by users.

About Reedsy Learning and these Terms of Use

Reedsy Learning is an online platform designed by Reedsy to provide users with content, courses and materials to help you write, publish, market and sell your novel, book or any other writing project.

You may access Reedsy Learning and certain Reedsy Learning content as an unregistered user but will need to register with an account to make full use of all Reedsy Learning functionality.

To register with Reedsy see our Registration Terms https://reedsy.com/about/tou. Please note that you must be at least 18 years of age to create a Reedsy account and enroll on a paid Reedsy Learning course.

Subject to the Reedsy Terms, we grant you a limited, personal, non-exclusive, non-transferable, and revocable license right to use our Services. The rights granted herein are only for your personal, non-commercial use, unless you obtain our written permission otherwise. You also agree that you will create, access, and/or use only one user account and you will not share access to your account or access information for your account with any third party. Using our Services does not give you ownership of or any Intellectual Property Rights in our Services or in the Reedsy Content you access.

Subscription Fee

Users will be required to pay a Subscription Fee for access to premium Reedsy Learning content and Learning events.

Details of the Subscription Fee payable will be set out on the Reedsy Learning platform, and may be subject to change from time to time.

The Subscription Fee for our How to Write a Novel Masterclass is $499. This amount is payable in a single instalment, in advance of you starting the course.

Where your Subscription Fee is paid on a periodic basis, you acknowledge and agree that Reedsy, via its payment processing agent (such as Stripe) shall automatically take payment from you of the applicable Subscription Fee on the agreed due dates. If a payment does not clear on the due date, Stripe (or another processing agent) will continue to attempt to take payment of the instalment from you until the payment is made.

For the avoidance of doubt, failure to pay any part of the Subscription Fee when due shall constitute a material breach of these Terms of Use and may result in the suspension or termination of your account and can also lead to the institution of legal recovery procedures.

You may cancel your subscription at any time in your Account Settings, but other than as set out in clause 4.7 or 4.8, we do not provide refunds for any Subscription Fee paid.

If you are a consumer as defined in The Distance Selling Regulations, you have the legal right to cancel your order up to 14 calendar days after the day on which you register for an account. If you provide us with notice of cancellation within this period (by writing to us at learning@reedsy.com), you will be given a full refund for your Subscription Fee. However, this refund shall apply only if you have not accessed any Reedsy Content following the completion of your first week introductory period (this includes the preparatory lessons which you are permitted to access without losing your right to a refund). If you have accessed any other Reedsy Content following the completion of your first week introductory period, we reserve our legal right to withhold such part of the Subscription Fee which we may reasonably determine in our discretion amounts to your use of the Reedsy Content.

Learning Events

Our events and conferences are subject to the following terms:
- Access: a ticket grants you access to the online live sessions, and replays will be made available to watch for 14 days after the event.
- Cancellations & refunds: users may cancel their registration and receive a full refund before the event takes place. If a user cancels after the event has started, no refund will be granted.

Upgrade coupons: users purchasing a ticket to an event may receive an offer to upgrade to a Learning Membership at a discounted price.
If you use the coupon to upgrade to Learning Membership, you will no longer be able to request a refund for the original event. Access to this event will then be tied to your Learning Membership.If the event has not yet taken place, you can still cancel your Learning Membership (and receive a refund of the discounted membership fee) and then request a refund for the original event. If you subsequently want to re-subscribe for Learning Membership, you will need to pay the full membership price.

Video Courses

Our video courses are divided into (i) shorter online video courses, such as the prep week How to Plan Your Novel course and (ii) longer video courses such as our How to Write a Novel Masterclass. Video courses are subject to the following terms:
- Access: users will gain access to the video lessons as soon as you have purchased the course, and retain access for as long as the videos remain online.
- Cancellations & refunds: you may receive a refund if you cancel within 14 days of purchase, so long as you have not accessed any of the course materials.
- Coupons: at the end of a video course, we may offer users a discount on another course. If you use this coupon to make a purchase, you will no longer be able to receive a refund on the original course, regardless of whether you have accessed the course material or are within the refund period.

Learning Membership

Learning Membership allows users to attend at least 6 online events and conferences over the course of 12 months. Additional events may also be added for members. Learning Membership is subject to the following terms:
- Access: your membership is valid for 12 months from the date of purchase.
- Cancellations & refunds: you may cancel your membership and receive a refund within 14 days of purchase. The refund will be subject to a deduction of any benefits used (i.e. if you have attended an event during this time, the event ticket fee will be deducted from the refund.) If you cancel after 14 days, you will not receive a refund but may keep using your membership until the end of their membership period.

Use of Reedsy Content

Once you have paid for your Reedsy Content, you will have unlimited personal use of that content (for such time as the content remains available on the Reedsy Learning platform).

Your subscription is personal to the registered user and may not be shared with anyone else. You are not permitted to share your login details with any third party. Breach of these rules will be considered a material breach of these Terms of Use and may result in the suspension or termination of your account and can also lead to the institution of legal procedures.

We may amend, vary, update or change any of the features available on the Reedsy Learning platform at any time.

Intellectual Property Rights

All Intellectual Property Rights in Reedsy Learning and Reedsy Content are owned and will remain owned, by us or our licensors at all times.

In particular, you are not permitted to record, copy, distribute or publish any Reedsy Content. Webinars will be streamed only, and may not be downloaded, recorded, saved or stored by any means.

You may be entitled to print and/or download written Reedsy Content, but in such cases you may only use that content for your own personal use and must not distribute such content to third parties or make any other commercial use of Reedsy Content outside of your use of Reedsy Learning for your own personal benefit.

General Conduct Expectations on Reedsy

We expect all Reedsy Learning users to adopt a high level of courtesy, respect and professionalism when using Reedsy Learning and engaging with other users, for example (but not limited to) when using the Community forum.

At all times when using or accessing Reedsy Learning you represent, warrant and undertake that you will:
- not breach any Applicable Laws;
- not use Reedsy Learning to seek or offer any goods or services from other users (other than through the Reedsy Platform);
- have all necessary rights and/or permissions to post the User Content you upload to Reedsy;
- not solicit or harvest another user’s password or other account information;
- not reverse engineer, decompile, disassemble or otherwise attempt to obtain Reedsy’s source code;
- not misuse Reedsy by knowingly introducing viruses, Trojans, worms, logic bombs, third party or external links or other malicious or harmful material;
- not attempt to gain unauthorised access to Reedsy, the server on which Reedsy is stored or any server, computer or database connected to the site; and
- not attack Reedsy via a denial of service attack or a distributed denial-of-service attack.

A failure to comply with Reedsy’s conduct expectations set out in paragraph 7.2 above, or any other terms of these Terms of Use, which we reserve the right to determine in our sole discretion, may result in the:
- deletion or removal of your User Content from Reedsy Learning;
- suspension or termination of your Reedsy Learning account; and/or
- suspension or termination of your right to use Reedsy generally.

Paragraph 10.4 shall be without prejudice to any other rights or remedies which may be available to us.

If your account is terminated for any reason, you will not be entitled to re-register or reapply for another Reedsy account without our permission.

User Content

Where you submit User Content to us, the following rules shall apply.

We are under no obligation to post or publish any User Content which you may submit. You understand that whether or not such User Content is published, we do not guarantee any confidentiality with respect to any User Content.

You shall be solely responsible for your own User Content and the consequences of posting or publishing them.

You represent and warrant that:

you own or have the necessary rights and permissions to use and authorize us to use all copyright, trademark or other proprietary rights in and to any User Content to enable inclusion and use on the platform and/or otherwise in accordance with the Reedsy Terms; and
-
whilst, you retain all of your ownership rights in your User Content, by submitting the User Content to us, you hereby grant us, in addition to any other rights which we may have, a worldwide, non-exclusive and transferable license to use, copy, prepare derivative works of, display and broadcast the User Content in connection with the platform and our business, including without limitation to grant access to third parties to view the User Content (and derivative works thereof);
- you agree that you will not not publish, post, upload, store,
distribute or disseminate any User Content that:
- infringes the rights (including any Intellectual Property Rights) of any third party that is protected by any third party’s rights of privacy or publicity without having received all necessary consents from such third party;
- is or could be reasonably deemed unlawful, fraudulent, defamatory, infringing, obscene, pornographic, harmful, confidential, libelous, hateful, racial or ethnically offensive, threatening or otherwise illegal or offensive or which, when published, posted, uploaded, stored, distributed or disseminated might constitute a criminal or civil offence; or
- is false or misleading;

you will not misidentify yourself in submitting the User Content or misstate your true identity.

You acknowledge that, other than as is provided for in these Terms of Use, we do not review User Content and/or any of the other content that is made available on Reedsy.

If you believe that any User Content available on Reedsy:
- infringes your Intellectual Property Rights or other proprietary rights;
- is defamatory to you; and/or
-
is otherwise in breach of these Terms of Use; please notify us by writing to us at learning@reedsy.com.

Disclaimer
- Reedsy makes no warranty, guarantee or other representation with regard to the reliability, validity or accuracy of the Reedsy Content. We do not guarantee that any Reedsy Content you may access will be free from errors, or that it will provide any particular results or solutions to your requirements. You acknowledge and agree that you access and make use of any Reedsy Content entirely at your own risk.

Our Liability

Nothing we say in these Terms of Use is intended to exclude or limit our liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation; or
- anything else which cannot be excluded by law.

Subject to paragraph 13.1, to the extent permitted by law, we exclude all conditions, warranties, representations or other terms which may apply to Reedsy or any content made available on it (including Reedsy Content, User Content or any other third party content), whether express or implied.

Subject to paragraph 13.1, you agree that we will not be liable for any loss or damage, (whether direct or indirect or arising under contract, tort (including negligence), breach of statutory duty, or otherwise) even if foreseeable, arising under or in connection with any:
- use of, availability of or inability to use Reedsy Learning;
- use of or reliance on any content displayed on Reedsy Learning (including any Reedsy Content or User Content); or
- loss of any User Content posted or uploaded to our website.

Subject to paragraph 13.1, Reedsy’s total aggregate liability to you, whether in contract, tort (including negligence), for breach of statutory duty, or otherwise, arising under or in connection with these Terms of Use, shall be limited to the greater of:
- £2,000; and
- the sum of any Subscription Fees paid by you to Reedsy during the period of 6 (six) months immediately preceding the date of the claim.

Due to the inherent risks of using the Internet, we cannot be liable for any damage to, or viruses that may infect, your internet enabled device or any other property when you are using Reedsy Learning. The uploading, posting, downloading or accessing of any content (including User Content), material and/or other information made available by Reedsy Learning is done at your own discretion and risk and with your agreement that you will be solely responsible for any damage to your device or loss of data that results from the downloading or acquisition of any such content, material and/or information.

You agree to indemnify us against any claims, liabilities, losses, damages, expenses, or legal proceedings arising out of:
- your use of Reedsy Learning;
- your User Content; or
- your failure to comply with these Terms of Use.

All the rest

Any failure or delay by us to enforce any of our rights under these Terms of Use will not be taken as or deemed to be a waiver of that or any other right unless we acknowledge and agree to such a waiver in writing.

These Terms of Use are not intended to be for the benefit of, nor exercisable by, any person who is not a party to these Terms of Use.

If a court deems any part of the terms set out in these Terms of Use to be invalid, illegal or unenforceable, the remainder of the terms will remain unaffected.

We agree to the use of email to deliver any notices pursuant to these Terms of Use. Notices shall be served: (a) by you to us using service@reedsy.com; and (b) by us to you using the email provided during registration. Notices shall be deemed served on the date of transmission.
- You accept that we may from time to time send you push notices and emails with content or services which we believe may be of interest to you. You are able to unsubscribe from receiving such emails in accordance with the terms of our privacy policy ( https://reedsy.com/about/privacy).
- These Terms of Use our General Terms and our Privacy Policy (as may be updated from time to time) set out the full extent of our obligations and liabilities concerning Reedsy and replace any previous agreements and understandings between us and you.

We may assign our rights under these Terms of Use and transfer our obligations under these Terms of Use in our sole discretion by providing notice to you via the email address that you provide to us or by notifying you on the site.

These Terms of Use, its subject matter and its formation (and any non-contractual disputes or claims arising out of or in connection with these Terms of Use), are governed and construed in accordance with English law. You and we both agree that the courts of England and Wales will have exclusive jurisdiction in relation to any dispute arising.
